Terms and Conditions

Rules for using exitosys.com, requesting quotations, customer accounts, and engaging EXITOSYS for software services and products.

1. Agreement

These Terms and Conditions (“Terms”) govern access to https://exitosys.com/ and related customer portals operated by EXITOSYS AI TECHNOLOGIES PRIVATE LIMITED (“EXITOSYS”, “we”, “us”), registered at B-5, Ujwal Park, Narhe Road, Vadgaon Budruk, Pune, Maharashtra 411041, GSTIN 27AAJCE4294N1ZY.

By browsing the site, creating an account, submitting a form, requesting a quotation, or paying an accepted order / invoice, you agree to these Terms and our Privacy Policy. If you are accepting on behalf of a company, you confirm you are authorised to bind that company.

Separate statements of work (SOW), purchase orders, MSAs, NDAs, or government contract documents may apply to custom projects. Those documents control if they conflict with these website Terms for that project.

2. Services we offer

EXITOSYS provides technology services that may include, without limitation:

  • Custom software development and enterprise application engineering
  • Mobile applications (Android / iOS / cross-platform)
  • Web applications and portals
  • Website design and redesign packages
  • API integrations (payments, messaging, ERP, government / third-party APIs)
  • GIS solutions
  • ERP implementation and customisation
  • Maintenance / AMC and support
  • Cloud deployment and DevOps-oriented delivery
  • Cybersecurity implementation assistance for applications we deliver or support
  • Related consulting, architecture, and training

EXITOSYS does not publish a public price list for services, products, website design engagements, white-label licences or government packages on the marketing website. Commercial quotations are provided after we understand your business problem, scope, compliance needs and timeline. Indicative engagement shapes (for example Launch / Redesign / Growth for website work) describe delivery style — not fixed public amounts. Accepted orders are confirmed in writing (quotation, SOW, order form or invoice) before payment obligations arise.

3. Products & solutions

EXITOSYS markets software products and industry solutions (including Healthcare / AI HIMS, Real Estate ERP & CRM, Education ERP, and white-label / partner licensing). Product demos, feature lists, and roadmap items on the website are descriptive. Licence scope, hosting model (SaaS vs on-prem), user limits, data residency, SLAs, and fees are defined in the quotation, order form, licence agreement, or SOW for that product — not as a public website price catalogue.

4. Website use

  • You may use the site for lawful business purposes only.
  • Do not attempt to disrupt, scrape abusively, reverse engineer non-public systems, or probe without authorisation.
  • Content on the site (copy, branding, UI, case summaries) is owned by EXITOSYS or its licensors. You may not copy it for competing marketing without written permission.
  • We may update or remove site content, engagement descriptions, or features at any time.

5. Customer accounts

Registration may be required to raise tickets, view quotations issued to your account, complete payment on an accepted order, or download invoices. You must provide accurate information (including GST / billing details where you need tax invoices) and keep login credentials confidential. You are responsible for activity under your account. We may suspend accounts that appear fraudulent, abusive, or in serious breach of these Terms.

6. Orders, payments & taxes

  • Online payments are processed by Razorpay (or another gateway shown at checkout). A successful payment confirmation does not by itself expand scope beyond the purchased plan description unless we confirm additional work in writing.
  • Amounts on quotations, order forms and invoices are generally in INR and may be GST-inclusive as stated on that document. Applicable GST (CGST/SGST or IGST) will appear on tax invoices based on place of supply and registration details. Marketing pages do not constitute a published price list.
  • For custom projects, payment milestones (advance, UAT, go-live, AMC) follow the signed commercial terms.
  • Refunds for accepted website or digital orders, if any, are assessed case-by-case (for example duplicate payment or inability to deliver due to our fault). Chargebacks initiated without contacting support first may lead to account suspension pending review.
  • Failed or pending payments do not create a delivery obligation until funds clear.

7. Delivery, acceptance & AMC

  • Website Design / Redesign engagements: delivery follows the inclusions confirmed in your quotation / SOW (pages, forms, basic SEO meta, responsive layout, etc.), guided by the engagement shape described on the service / promo page. Client-provided content, logos, and timely feedback are required. Delays caused by missing inputs extend timelines.
  • Custom software / mobile / web / ERP / GIS / integrations: scope is frozen in writing. Change requests may affect fee and schedule.
  • Cloud & cybersecurity: we implement agreed controls and deployments; ongoing cloud account ownership, third-party licence fees, and compliance certifications remain your responsibility unless expressly included.
  • AMC / maintenance: covers the support window and severity response described in the quotation, plan or contract. It does not automatically include major new features or third-party outages outside our control.
  • Acceptance: unless otherwise agreed, work is accepted on written sign-off, production go-live, or silence after a stated review period following delivery of a milestone build.

8. Your responsibilities

  • Provide lawful content and accurate requirements.
  • Obtain rights to materials you supply (brand assets, patient / student / customer data where applicable).
  • For regulated domains (healthcare, education, government), ensure your organisation meets applicable compliance duties; EXITOSYS implements technical measures agreed in scope but is not your compliance officer unless hired for a defined audit engagement.
  • Maintain backups and access controls for systems you host, except where hosting is expressly in our scope.

9. Intellectual property

  • Pre-existing EXITOSYS tools, libraries, templates, and product code remain EXITOSYS property.
  • Custom project IP transfer or licence terms are stated in the SOW / contract. Until full payment of relevant milestones, EXITOSYS may withhold licence or transfer.
  • Product / white-label licences grant usage rights, not ownership of underlying source, unless a source-code licence is purchased in writing.
  • You grant EXITOSYS a limited licence to use your materials solely to perform the services.

10. Warranties & disclaimers

The website and marketing materials are provided “as is”. For paid work, we warrant that we will perform services with reasonable professional care consistent with the agreed scope. We do not warrant uninterrupted operation of third-party networks, app stores, payment gateways, or cloud regions we do not control. Except as required by law or a signed SLA, all other warranties (merchantability, fitness for a particular purpose) are disclaimed to the maximum extent permitted.

11. Limitation of liability

To the maximum extent permitted by Indian law, EXITOSYS is not liable for indirect, incidental, special, consequential, or lost-profit damages. Our aggregate liability arising from website use or a particular order is limited to the fees you paid to EXITOSYS for that order in the three (3) months preceding the claim (or INR 10,000 if no fees were paid), except in cases of proven wilful misconduct where limitation is not allowed by law.

12. Indemnity

You agree to indemnify EXITOSYS against claims arising from your content, unlawful use of our services, or your breach of these Terms or applicable law, except to the extent caused by our wilful misconduct.

13. Suspension & termination

We may suspend access for non-payment, security risk, or material breach. You may stop using the site at any time. Provisions on IP, payment, liability, indemnity, and governing law survive termination.

14. Governing law & disputes

These Terms are governed by the laws of India. Courts in Pune, Maharashtra shall have exclusive jurisdiction, subject to mandatory consumer protections if applicable. Parties will first attempt good-faith resolution via the contact channels below.

15. Changes

We may revise these Terms by updating this page. Material changes for existing paid subscriptions will be communicated where reasonably practical. Continued use after the update constitutes acceptance for website use; ongoing contracts follow their amendment clauses.
